1. INTRODUCTION
These Terms and Conditions govern the use of our website and the purchase of products or services supplied by Spinner Sprouts (Pty) Ltd, trading as:

By accessing our website, submitting an order, accepting a quotation or purchasing any product, you agree to these Terms and Conditions.
Nothing in these Terms and Conditions is intended to exclude or restrict any consumer right that cannot lawfully be excluded under South African law.

3. OUR PRODUCTS AND SERVICES
3.1 Spinner Sprouts
Spinner Sprouts produces and supplies fresh microgreens, seedlings, herbs, vegetables and related produce grown using hydroponic, coco coir and other controlled cultivation methods.
3.2 Heraklion South Africa
Heraklion South Africa manufactures and supplies products that may include:
-
scented candles;
-
wax melts;
-
wax burners;
-
home-fragrance products;
-
handcrafted resin décor;
-
cosmetic, skincare, bath and body products;
-
lodge and guest-room amenities;
-
gift sets;
-
custom-branded products; and
-
wholesale and corporate gifting collections.

The exact contents, ingredients, dimensions, weight, volume, fragrance, colour and usage instructions applicable to a product will be shown on the product page, packaging, label, quotation or invoice.
4. USE OF THE WEBSITE
You agree to:

use the website only for lawful purposes;
-
provide accurate and complete information;
-
not attempt to gain unauthorised access to the website or its systems;
-
not introduce malicious software or interfere with the website’s operation;
-
not use false identities, payment details or delivery information; and
-
not copy or commercially exploit our website content without permission.
We may restrict access, cancel an order or report conduct where we reasonably suspect fraud, unlawful activity, misuse or a security threat.
5. PRODUCT INFORMATION AND NATURAL VARIATION
We take reasonable steps to ensure that product descriptions, photographs, quantities and prices are accurate.
However:

fresh produce may differ naturally in size, colour, texture and appearance;
-
handmade candles, resin pieces and décor may contain minor variations;
-
fragrance strength and colour may vary slightly between production batches;
-
natural ingredients may vary in colour, aroma and consistency;
-
computer and mobile screens may display colours differently;
-
product photographs may include styling items that are not included in the purchase; and
-
stated candle burn times are estimates and depend on wick care, room conditions and how the candle is used.
Minor handmade or natural variation that does not affect the product’s reasonable function, safety or overall quality will not automatically constitute a defect.
The product label and product-specific safety instructions form part of the product information. Where general website information differs from the instructions printed on a product, the product-specific label and instructions should be followed.
6. COSMETIC AND PERSONAL-CARE PRODUCTS
6.1 Intended use
Heraklion cosmetic, skincare, bath and body products are intended for cosmetic or personal-care use only, unless expressly stated otherwise.
They are not medicines and are not intended to diagnose, treat, cure or prevent a disease or medical condition.
6.2 Customer responsibility
Before using a cosmetic or personal-care product, customers must:

read the full ingredient list;
-
read and follow all warnings and directions;
-
check whether the product contains any known allergen or sensitivity trigger;
-
use the product only for its stated purpose;
-
comply with any recommended patch-test instructions; and
-
stop use if irritation or an unexpected reaction occurs.
Unless the product label expressly states otherwise:
-
products are for external use only;
-
products must not be swallowed;
-
avoid direct contact with the eyes and mucous membranes;
-
do not apply to broken, infected or severely irritated skin; and
-
keep products out of reach of children and pets.
A patch test reduces risk but does not guarantee that a reaction will not occur.
Customers who are pregnant, breastfeeding, undergoing medical treatment or living with a significant skin condition should obtain appropriate medical advice where necessary before using products containing essential oils, active ingredients or strong fragrance compounds.
6.3 Ingredients and sensitivities
Ingredient information is provided using the product label and, where applicable, International Nomenclature of Cosmetic Ingredients terminology.
Customers are responsible for reviewing the ingredients before use. The fact that an ingredient is natural, botanical, plant-derived or handmade does not mean that it cannot cause irritation or an allergic reaction.
We do not guarantee that every product will be suitable for every skin type.
6.4 Cosmetic labelling and batch identification
Heraklion cosmetic products will be manufactured and labelled in accordance with applicable South African requirements.
Depending on the product, the label or accompanying information may contain:
-
the product name and function;
-
the responsible business’s name and address;
-
nominal weight or volume;
-
ingredients;
-
batch or lot number;
-
applicable warnings and precautions;
-
minimum durability or period-after-opening information; and
-
directions for use.
Customers should retain the container, label and batch number if they experience a problem or adverse reaction.
7. CANDLE, WAX MELT AND BURNER SAFETY
CANDLES, TEA LIGHTS, MELTED WAX AND WAX-BURNER COMPONENTS CAN CAUSE FIRE, BURNS, PROPERTY DAMAGE, SERIOUS INJURY OR DEATH IF USED INCORRECTLY.
Customers must read and follow the safety label supplied with each product.
7.1 Candles
Customers must:
-
never leave a burning candle unattended;
-
keep candles away from children and pets;
-
keep candles away from curtains, bedding, paper and other flammable materials;
-
place candles on a stable, level and heat-resistant surface;
-
keep candles away from draughts and direct airflow;
-
trim and maintain the wick as directed;
-
comply with the maximum recommended burn time;
-
not move or handle a candle while it is burning or while the wax is liquid;
-
not use a cracked, chipped or damaged vessel;
-
keep the wax pool free from matches, wick trimmings and debris; and
-
stop using the candle when the remaining wax reaches the minimum level stated on the safety label.
-
Candle containers, lids and surrounding surfaces may become hot during and after use.
7.2 Wax melts and burners
Customers must:
-
use wax melts only in a suitable wax burner;
-
use only the type and size of tea light recommended for the burner;
-
place the burner on a stable and heat-resistant surface;
-
never leave the burner unattended;
-
never add water to hot or melted wax;
-
never overfill the melting bowl;
-
never move the burner while the tea light is lit or the wax is hot;
-
extinguish the tea light before the bowl becomes dry;
-
allow the burner and wax to cool completely before handling; and
-
keep the product away from children, pets and flammable materials.
The removable metal melting bowl can become extremely hot. Never touch or remove the metal bowl while the tea light is burning, while wax is melted or before the bowl has cooled completely.
7.3 Misuse
Heraklion South Africa is not responsible for loss caused solely by use contrary to clear product instructions, deliberate misuse, unauthorised alteration or use of a damaged product, except to the extent that liability cannot lawfully be excluded.
These warnings should also appear prominently on the relevant product pages, packaging and labels rather than only inside these Terms and Conditions. The Consumer Protection Act requires significant risks and liability provisions to be brought conspicuously to a consumer’s attention.
8. RESIN DÉCOR AND ACCESSORIES
Unless expressly described otherwise:
-
resin décor products are decorative and are not toys;
-
they are not intended for food preparation or food contact;
-
they should not be placed directly over an open flame;
-
they must not be exposed to excessive heat;
-
they should not be placed in a dishwasher, microwave or oven;
-
they should not be submerged in water for extended periods; and
-
abrasive chemicals or cleaning tools should not be used.
Customers must use any candle holder, burner, tray or decorative accessory only for the purpose stated in its product description.
9. PRICING AND PAYMENT
All prices are stated in South African Rand.
Prices include VAT only where VAT is legally applicable and expressly indicated.
The total price, including any delivery charge or other applicable fee, will be shown before payment or stated in the quotation.
Payment must be made through an approved payment method. Orders may be withheld until cleared payment has been received.
We may change prices prospectively. A price change will not ordinarily affect an order already accepted and paid for.
Where a genuine and obvious pricing, description or system error is discovered before an order has been accepted, we will contact the customer. The customer may confirm the order at the corrected price or cancel it for a full refund.
10. ORDER ACCEPTANCE AND AVAILABILITY
An automated email or message acknowledging receipt of an order does not necessarily mean that the order has been accepted.
An order is accepted when we:
-
issue an express acceptance;
-
confirm that production has commenced;
-
confirm collection;
-
dispatch the order; or
-
otherwise perform the order.
We may decline or cancel an order where:
-
payment fails or is reversed;
-
the product is unavailable;
-
delivery cannot reasonably be completed;
-
an obvious error has occurred;
-
we reasonably suspect fraud;
-
the order would cause us to breach a law or regulation; or
-
we are unable to manufacture the product safely or according to the agreed specification.
Any payment received for a cancelled order will be refunded unless a lawful deduction applies to a custom order already in production.
11. CUSTOM, PERSONALISED AND WHOLESALE ORDERS
Custom, corporate, lodge, wholesale and private-label orders may be governed by an additional quotation, invoice or written agreement.
Where those documents conflict with these general Terms and Conditions, the specific written quotation or agreement will apply to the custom commercial terms, while statutory consumer rights remain unaffected.
11.1 Artwork and approvals
The customer is responsible for checking and approving:
-
spelling;
-
names;
-
logos;
-
colours;
-
dimensions;
-
fragrance selections;
-
quantities;
-
packaging;
-
artwork placement; and
-
all other specifications.
Production may commence after written approval, payment or deposit, as specified in the quotation.
Once artwork or samples have been approved, Heraklion South Africa is not responsible for errors that were present in the approved material unless we produced the item differently from that approval.
11.2 Intellectual-property permission
A customer supplying a name, photograph, trademark, logo or artwork warrants that the customer owns it or has permission to use it.
The customer will be responsible, to the extent permitted by law, for reasonable losses or claims arising from material supplied without the necessary rights or permission.
11.3 Cancellation of custom orders
Personalised and custom-manufactured products cannot ordinarily be resold.
Once design work, sourcing or production has commenced, cancellation may be refused or a reasonable amount may be retained to cover work performed, customised materials and unavoidable costs, subject to applicable law and the terms of the quotation.
11.4 Production tolerances
Reasonable manufacturing tolerances may occur in handmade and customised products, including slight differences in:
-
colour;
-
fragrance;
-
weight or fill level;
-
positioning of labels;
-
texture;
-
surface pattern; and
-
finished dimensions.
Material deviations from an approved specification should be reported promptly.
12. DELIVERY
Delivery areas, charges and available delivery methods will be shown at checkout or stated in the quotation.
Delivery dates are estimates unless expressly agreed as fixed dates.
Delays may occur due to:
-
severe weather;
-
courier disruptions;
-
road closures;
-
load shedding or infrastructure failure;
-
supply shortages;
-
production interruptions;
-
civil unrest;
-
natural disasters; or
-
circumstances reasonably outside our control.
We will notify the customer of a material delay where reasonably possible.
Customers must provide complete and accurate delivery information and ensure that someone is available to receive the order.
Additional delivery costs may be charged where delivery fails because:
-
the address supplied was incorrect or incomplete;
-
no authorised person was available;
-
access to the premises was refused or unsafe; or
-
redelivery is requested.
Risk in the goods passes to the customer when the goods are delivered to the customer or an authorised recipient at the agreed address.
13. STORAGE AND HANDLING
13.1 Fresh produce
Microgreens and fresh produce must be refrigerated promptly and consumed within a reasonable period.
Spinner Sprouts is not responsible for deterioration caused after delivery by:
-
failure to refrigerate;
-
excessive heat;
-
contamination;
-
unsuitable storage;
-
prolonged storage; or
-
mishandling.
13.2 Heraklion products
Candles, wax products and cosmetics should be:
-
stored in a cool and dry place;
-
protected from excessive heat and direct sunlight;
-
kept securely closed where applicable;
-
stored away from children and pets; and
-
used before the applicable expiry, minimum durability or period-after-opening date.
Products must not be transferred into unlabelled or unsuitable containers.
14. RETURNS, CANCELLATIONS AND REFUNDS
14.1 Statutory rights
Nothing in this policy limits rights provided by the Consumer Protection Act, the Electronic Communications and Transactions Act or another applicable law.
14.2 Online cooling-off rights
Where section 44 of the Electronic Communications and Transactions Act applies, a consumer may cancel an eligible online purchase without reason within seven days after receiving the goods.
The consumer may be responsible for the direct cost of returning the goods.
This cooling-off right does not apply to excluded transactions, which include certain:
-
personalised goods;
-
custom-manufactured goods;
-
rapidly deteriorating goods;
-
goods that by their nature cannot be returned; and
-
goods intended for everyday consumption delivered to the consumer’s home or workplace.
Where a purchase results from direct marketing and ECTA does not apply, separate cooling-off rights may arise under the Consumer Protection Act.
14.3 Change-of-mind returns
We do not automatically accept change-of-mind returns except where required by law or expressly agreed in writing.
To be considered for a discretionary return, non-perishable goods must generally be:
-
unused;
-
unopened where relevant;
-
undamaged;
-
in their original packaging; and
-
suitable for safe resale.
Return delivery costs may be for the customer’s account where the return is not caused by our error or a product defect.
14.4 Fresh produce
Because fresh produce deteriorates rapidly, change-of-mind returns are not accepted.
Quality problems should be reported within 24 hours of delivery so that the condition of the produce can be assessed accurately.
Failure to report within 24 hours does not remove any non-excludable statutory right, but delay may make it difficult to establish whether deterioration occurred before or after delivery.
14.5 Cosmetics and personal-care products
For health, hygiene and contamination-control reasons, opened or used cosmetic and personal-care products will not ordinarily be accepted for a change-of-mind return where they cannot safely be resold.
This does not apply where the product is defective, unsafe, incorrectly supplied or where a return is otherwise required by law.
14.6 Custom products
Personalised, branded and made-to-order products are not returnable merely because the customer changed their mind.
They may still be returned or remedied where they are defective, unsafe or materially different from the approved specification.
14.7 Defective, unsafe, damaged or incorrect goods
A customer must contact us if goods are:
-
defective;
-
unsafe;
-
damaged in transit;
-
incorrectly supplied;
-
missing components; or
-
materially different from the description or approved specification.
Please provide:
-
the order number;
-
the product name;
-
the batch or lot number where applicable;
-
photographs or video;
-
a description of the problem; and
-
confirmation of how the product was stored or used.
15. ADVERSE REACTIONS, SAFETY INCIDENTS AND RECALLS
Customers must stop using a product and contact Heraklion South Africa as soon as reasonably possible if they experience:
-
a serious or unexpected skin reaction;
-
burning, swelling or blistering;
-
difficulty breathing;
-
accidental ingestion;
-
a fire or burn incident;
-
a container failure;
-
unusual overheating; or
-
another significant safety concern.
Where urgent medical attention is required, the customer should obtain medical assistance immediately rather than waiting for a response from us.
Please retain the product, packaging, label and batch number. We may request additional information to investigate the incident.
Heraklion South Africa may:
-
request the product’s return;
-
provide safety instructions;
-
suspend the sale of a batch;
-
contact other affected customers;
-
issue a safety notice; or
-
conduct a product recall where reasonably necessary.
Customers must follow any recall or safety instruction promptly.
16. INTELLECTUAL PROPERTY
All website content and business material, including:
-
logos;
-
brand names;
-
product names;
-
label designs;
-
photographs;
-
product formulations;
-
graphics;
-
text;
-
packaging;
-
artwork; and
-
marketing materials
belong to Spinner Sprouts (Pty) Ltd or are used under licence.
They may not be copied, modified, reproduced, manufactured, distributed or commercially used without prior written permission.
17. PRIVACY AND DIRECT MARKETING
Personal information will be processed in accordance with our Privacy Policy and applicable South African privacy law.
Information may be used for purposes including:
-
processing orders;
-
receiving payment;
-
delivering products;
-
communicating with customers;
-
managing warranties and complaints;
-
investigating safety incidents;
-
preventing fraud; and
-
complying with legal obligations.
Personal information will not be sold to advertisers.
Marketing communications will only be sent where legally permitted. Customers may unsubscribe or request that direct marketing stop.
POPIA regulates the lawful processing and protection of personal information by South African public and private bodies.
18. LIMITATION OF LIABILITY
To the fullest extent permitted by law:

we are not responsible for indirect or consequential commercial losses that were not reasonably foreseeable;
-
we are not responsible for loss caused solely by the customer’s failure to follow clear safety, storage or usage instructions;
-
we are not responsible for unauthorised alterations to a product;
-
we are not responsible for allergic reactions caused by a known ingredient that was clearly disclosed, except where liability nevertheless arises under law; and
-
website access may occasionally be interrupted for maintenance, security or technical reasons.
Nothing in these Terms and Conditions excludes or limits liability for:
-
fraud;
-
wilful misconduct;
-
gross negligence where exclusion is prohibited;
-
unsafe or defective goods where statutory liability applies;
-
inadequate legally required warnings;
-
death or personal injury where liability cannot lawfully be excluded; or
-
any other liability or consumer right that cannot legally be excluded.
19. FORCE MAJEURE
We will not be treated as being in breach where performance is prevented or materially delayed by circumstances beyond our reasonable control.
Where such circumstances continue, we may:
-
extend the delivery period;
-
offer a reasonable substitute;
-
partially fulfil the order with the customer’s agreement; or
-
cancel the affected portion and refund the amount paid for products not supplied.
20. COMPLAINTS AND DISPUTE RESOLUTION
Customers should first submit complaints directly to the relevant brand using the contact details in section 2.
We will make a reasonable effort to acknowledge, investigate and respond to complaints fairly.
If a consumer complaint cannot be resolved directly, the consumer may approach an applicable consumer-protection body, including the Consumer Goods and Services Ombud or the National Consumer Commission, where they have jurisdiction. The NCC recognises the CGSO as an alternative dispute-resolution body in the consumer goods and services sector.
21. GOVERNING LAW
These Terms and Conditions are governed by the laws of the Republic of South Africa.
South African courts and applicable consumer-protection bodies will have jurisdiction, subject to any lawful dispute-resolution process available to the parties.
22. CHANGES TO THESE TERMS
We may update these Terms and Conditions to reflect changes to:

our products;
-
our services;
-
our website;
-
business operations; or
-
applicable law.
The updated date will be displayed at the top of the document.
Changes will apply prospectively and will not unfairly remove rights relating to an order already accepted.
